The Company was originally incorporated as a private limited company under the name of ?Valuable Media Private Limited? under the Companies Act 1956 and received a certificate of incorporation dated June 14 2004 from the Registrar of Companies Maharashtra at Mumbai. Thereafter pursuant to a resolution of the shareholders passed at the extraordinary general meeting on August 17 2006 the name of the Company was changed to ?UFO India Private Limited? and a fresh certificate of incorporation consequent upon change ofname was issued by the Registrar of Companies Maharashtra at Mumbai on August 31 2006. The reason for the change of name was to align the name of the company with The brand offerings. Pursuant to a resolution of the shareholders passed at the extraordinary general meeting held on October 11 2006 The Company was converted into a public company and its name was changed to ?UFO India Limited? and a fresh certificate of incorporation consequent upon change of name on conversion to a public limited company was issued by the Registrar of Companies Maharashtra at Mumbai on November 10 2006. Further pursuant to the scheme of amalgamation approved by the Delhi High CThet through its order dated May 19 2008 UFO Moviez Limited The erstwhile holding company was amalgamated with and into UFO India Limited. Subsequently pursuant to a resolution of the shareholders passed at the extraordinary general meeting held on June 5 2008 the name of The Company was changed to UFO Moviez India Limited and a fresh certificate of incorporation consequent upon change of name was issued by the RoC on June 12 2008.
