The Company was originally incorporated in New Delhi as ‘Ridaan Real Estate Private Limited’ as a private limited company under the Companies Act 1956 pursuant to a certificate of incorporation dated November 16 2012 issued by the RoC. Pursuant to the Scheme of Arrangement and Demerger the Company acquired the RateGain IT Solutions Private Limited’s business of providing web-based solution to hospitality and travel sector. Subsequently the name of the Company was changed to ‘RateGain Travel Technologies Private Limited’ and a fresh certificate of incorporation dated February 25 2015 was issued by the RoC. Thereafter the Company was converted into a public limited company pursuant to a shareholder’s resolution dated July 15 2021 and consequently the name of the Company was changed to ‘RateGain Travel Technologies Limited’ and a fresh certificate of incorporation dated July 27 2021 was issued by the RoC.Major events and milestones :2012- Incorporation of the Company.2014- Wagner invested in the Company through subscription of 84516 Series A CCCPS and purchase of 105645 equity shares of face value of Rs. 10 by way of a Series A SSPA.- Pursuant to demerger of RateGain IT Solutions Private Limited the Hospitality and Travel Business of RateGain IT Solutions Private Limited was vested into the Company.2018- RateGain US one of the Subsidiaries has acquired the assets of DHISCO Electronic Distribution Inc. and DHISCO Inc. by entering into an Asset Purchase Agreement dated July 14 2018.2019- RateGain US one of Subsidiaries has entered into an Agreement and Plan of Merger dated June 11 2019 and indirectly acquired BCV Social LLC and its MarTech business.2020- Avataar invested in the Company through subscription of total 63808 Series B CCCPS of the Company in two tranches by way of a Series B SSA.2021- RateGain UK one of the Subsidiaries has acquired Myhotelshop GmbH by entering into a sale and purchase agreement dated September 10 2021.Key awards accreditations and recognition :2016- The Company was awarded Deloitte’s 2016 Asia Pacific Technology Fast 500 Award2018- The Company was awarded CSR Leadership award by UBS Forum2019- The Company was awarded best Mobility Solution from Express IT Awards- The Company featured in Deloitte Technology Fast 50 India Rankings by Deloitte Touche Tohmatsu India LLP- The Company was awarded Best Technology Innovator of the Year Award from HSMAI Region Europe Awards2020- The Company was awarded Most Innovative Start-up’ at the Economic Times Innovation Awards- The Company was regional runner up in Asia in UNWTO’s Healing Solutions for Tourism Challenge- The Company was awarded Most Disruptive Travel Tech for the Smart Distribution Product by BW Business World and BW Disrupt Techtors- The Company featured in Deloitte Technology Fast 50 India Rankings published by Deloitte Touche Tohmatsu India LLP2021- The Company was awarded ‘Award for leading HR Practices in Quality Work Life’ and ‘Diversity Impact Award’ by World HRD Congress
