The Company was incorporated in Mumbai India under the name ‘Samarjit Advisors Private Limited’ on November 10 2009 as a private limited company under the Companies Act 1956 and was granted a certificate of incorporation by the RoC. Subsequently pursuant to a special resolution passed in the extraordinary general meeting of the Shareholders held on December 26 2014 the Company changed its name to ‘Sapphire Foods India Private Limited’ to reflect the intention of the Company to carry on the business of inter alia running hotels and restaurants and a fresh certificate of incorporation dated January 7 2015 was issued to the Company by the RoC.
