The Company was incorporated as a Public Limited Company onMarch 29 1994 as GSL Securities Limited u/s (3) of theCompanies Act 1956. The Company obtained the Certificatefor the Commencement of Business on May 3 1994.The Company has since then undertaken business activitiesmainly in the area of Capital Market Investments and shortterm financing. The Company intends to broadbase itsoperations by diversifying into other services likeLeasing Hire-Purchase etc.The Company is a Non Banking Financial Services Company andwas incorporated with the main objective of pursuing thebusiness of Financial Services like Leasing Hire PurchaseFinancial Consultancy Bill Discounting Stock BrokingInvestments etc. Given the emerging opportunities in theCapital and Money Market the company wishes to expand itsoperations.RBI vide its letter dated 8.12.94 has classified the Companyin the Category of an Investment Company as defined in para2(1)(i) of our Notification DNBC No.38/DG(H)-77DNBC-39/DG(H)-77 dated 20th June 1977.2. MAIN OBJECTSThe Main Object of the Company as set out in the Memorandumof Association is as under:1) To carry on the business of finance to finance theindustrial enterprises deferred payments credits leasinghire purchase hiring or leasing and for that arrangement ofpurchasing and selling of plant and Machinery equipmentsor other assets and bill discounting stock broking andother financial and allied activities and to act as aninvestment company and for this purpose to invest money ofthe company to acquire purchase sell exchange subscribefor hold and otherwise dispose off and deal in any sharesdebentures bonds stock commercial papers notes unitssecurities immovable mortgages obligation including anyrights privileges or advantages therein.2) To carry on the business of Merchant Banking andportfolio management subject to securities and exchangeBoard of India (Merchant Banking) Rules and Regulation 1992and such other approval as may be required from otherauthorities subject to compliance of any other law in thisregard but not to carry on all or any part of Bankingbusiness as contemplated by the Reserve Bank of IndiaAct/Banking Regulation Act 1949.
