The Company by name Thermo-Dynamics Pvt. Ltd. wasoriginally incorporated on 30th June 1980. Later Wanson(India) Ltd. (hereinafter referred to as "Wanson") alongwithThermax India (Pvt). Ltd. was amalgamated with the Company on1st July 1980 under a scheme of amalgamation approved byBombay High Court u/s 394 of Companies Act 1956 (hereinafterreferred to as the Act) with Thermo-Dynamics Pvt. Ltd.Subsequently its name was changed to Thermax Pvt. Ltd. and afresh certificate of incorporation was issued on 4th May 1981by the Registrar of Companies Maharashtra. Tulsi Fine ChemicalIndustries Pvt. Ltd. and Kailas Castings Pvt. Ltd. were mergedwith the Company with effect from 1st July 1982 under a schemeof amalgamation approved by Bombay High Court u/s 394 of the Actwith effect from 1st July 1989. Later T.K. Steel IndustriesLtd. amalgamated with the Company with effect from 1st April1991 pursuant to a scheme of amalgamation approved by the BombayHigh Court u/s 394 of the Act. The Company has become a fullfledged Public Limited Company pursuant to a Special Resolutionpassed at the Annual General Meeting held on 22nd September1994 and the a Certificate to that effect has been issued by theRegistrar of Companies Maharashtra on 9th January 1995.
