The Company was incorporated on 6th November 1985 under the name and style of "Western Leasing Limited." The Company received its Certificate of Commencement of Business on 16th December 1985.The Company carried on its leasing activities till mid of 1987 subsequent to which it changed its line of business and concentrated in setting up facilities for its new project which was for the manufacture of HDPE Pipes and HDPE/PP Tanks and Vessels. The name of the Company was changed to "M/s Kunststoffe Industries Limited" and it received its Certificate of Change of Name on 20th August 1987. The Company for the successful completion of its project entered into a collaboration agreement with M/s Troisdorfer Bau and Kunststoffe Gmbh (BAUKU) of WestGermany for the production of pipes with the spirally wound profile wall pipe technology.The Company started the commercial production of spirally wound HDPE Pipes on April 1993 and since then for the nine operating months the Company''s turnover was Rs. 208 lacs which earned a cash profit of Rs. 41 lacs. The Company achieved a break even at 20% of its capacity which is an indication of its profit earning potential. For the sixmonths ended 30th June 1994 the Company''s turnover is Rs. 248.36 lacs as against a turnover of Rs. 208 lacs for the nine months ended 31st December 1993. MAIN OBJECTS OF THE COMPANYThe main object of the Company as specified in the Memorandum and Articles of the Company are as follows: MAIN OBJECTS"To perform and undertake activities and carry on business pertaining to leasing giving on hire or hire purchase warehousing factoring and related fields and without affecting the generality of the aforesaid provisions providing financial assistance by means of leasing givingon lease hire or hire purchase consumer credit lending selling reselling mortgaging pledging or hypothecating or otherwise disposing off all forms of immovable and movable properties and assets including buildings godowns warehouses a real estate of any kind nature or user whatsoever and all types of industrial office and otherplant equipment and machinery including heavy or medium industrial machinery construction machineries computers electronic date processors tabulators equipments and instruments air-conditioners refrigerators medical equipments televisions videos and domesticequipments/appliances or any system and any other items of any kind nature or user whatsoever whether industrial or consumer and all types of vehicles ships or aircrafts and any other property of any kind nature or user whatsoever and whether required for manufacturing processing marketing transporting trading or any other commercial or service business or profession and for the purpose of purchasing or taking on hire or hire purchase otherwiseacquiring dominion over the same whether new or used".The Company is also pursuing the activities as mentioned in Clause 59 of "OTHER OBJECTS" of the Memorandum pursuant to a Special Resolution u/s 149(2) of the Act passed at the Annual General Meeting held on May 4th 1987 which reads as under:-"To carry on the business of manufacturers dealers importers exporters buyers sellers merchants contractors brokers commission agents and moulders of all kinds of plastic PVC polypropylene polystyrene plasticizers polythelene and polymers a ides goods andproducts of all kinds in the manufacture of which above are used including shoes pipes and tubes fittings of all types conduits and stabilizers". PRESENT BUSINESSThe Company is presently in the business of manufacture of large diameter (300 mm - 3000 mm) non-pressure High Density Poly Ethylene (HDPE) pipes and HDPE/Poly Propylene (PP) tanks and vessels with an installed capacity of 1275 tons per annum.
