JSW Steel Limited informed the stock exchanges that the National Company Law Tribunal (NCLT) has approved the scheme to merge three wholly-owned subsidiaries with the company. This approval marks the completion of a key legal requirement for the corporate restructuring.
Under the approved scheme, Amba River Coke Limited, Monnet Cement Limited, and JSW Retail and Distribution Limited will be merged into JSW Steel Limited.
According to the company, the merger is expected to simplify its corporate structure, improve operational efficiency, enable better utilization of resources and expertise, reduce compliance requirements, and enhance overall business performance while lowering costs.
The merger is expected to streamline business operations, improve coordination across business units, eliminate duplicate processes, and create a more efficient organizational structure.
Since all three companies are wholly-owned subsidiaries of JSW Steel Limited, no new shares will be issued as part of the merger, resulting in no dilution for existing shareholders.

The merger scheme will become effective after the certified copy of the NCLT order is filed with the Registrar of Companies in accordance with the Companies Act. The appointed date for the merger is April 1, 2026.
