SAT Sets Aside SEBI Order Against Coffee Day Enterprises

The appeal was filed by Coffee Day Enterprises Limited (CDEL) against the SEBI Whole Time Member (WTM) order dated January 24, 2023. The order had imposed a penalty of Rs. 26 crore under Sections 15HA and 15HB of the SEBI Act, 1992, in connection with alleged securities law violations.

The Securities Appellate Tribunal (SAT) had earlier granted a stay on the imposition of the penalty through an order dated March 3, 2023.

In its final judgment dated November 5, 2026, SAT disposed of the company's appeal and set aside the January 24, 2023 order. The Tribunal also directed SEBI to undertake further investigation into the matter.

Rs. 3,535 Crore Fund Transfers Under SEBI Scrutiny

The case relates to the transfer of an aggregate Rs. 3,535 crore from seven subsidiaries of Coffee Day Enterprises to Mysore Amalgamated Coffee Estates Limited (MACEL).

The Tribunal observed that the investigation needed to examine the broader scheme of fund diversion, the roles of various stakeholders and the ultimate beneficiaries of the transferred funds.

SAT also directed SEBI to investigate whether there were any violations of the SEBI (Prohibition of Insider Trading) Regulations, 2015, involving the alleged avoidance of losses by insiders, including promoters.

SEBI Directed to Complete Further Investigation Within Six Months

SAT directed SEBI to carry out the further investigation as early as possible and within an upper limit of six months, followed by appropriate orders in accordance with the law.

The Tribunal indicated that the investigation may include recording statements on oath from concerned persons, including the legal representatives of late V. G. Siddhartha, and examining officials of CDEL, its subsidiaries and banks to establish the movement of funds and identify the ultimate beneficiaries.
