The Company was incorporated on 20th September 1993 as Private Limited Company in the name of Kaiser Press Private Limited in Bombay. A fresh Certificate of Incorporation was obtained on 15th March 1995 consequent upon conversion of the Company into public limited company in terms of special resolution passed at the Extra Ordinary General Meeting held on 10-2-95. The Company is promoted by Mr. Jehangir R. Patel having more than 25 years'' experience in the line of printing. The Company proposes to set up project consisting of two divisions viz. Plastic Division for manufacturing of plastic containers and Printing Division for quality printing & manufacturing of self-adhesive labels and cartons. Both the divisions are to be located at T.T.C. Industrial Area Village Pawane M.I.D.C. Thana-400 604 which is notified Category `A'' backward area eligible for Tax benefits declared by the Government. The Company has also acquired land and building at Andheri on lease basis to carry out Storage Marketing and Administrative functions of both the divisions of the Company.MAIN OBJECTS OF THE COMPANY The main objects of the Company as set out in the Memorandum of Association are as under: 1. To carry on business of printers and to undertake printing jobs of general and specialised nature including but not restricted to offset printing multicolour printing and typesetting. 2. To conduct scanning processing platemaking and engraving dye making envelope manufacturing cartons manufacturing paper labels self-adhesive labels manufacturing book-binding account book manufacturing machine ruling numerical printing paper bag making box making cardboard products manufacturing and manufacturers of and dealers in plain railway festive complimentary and fancy cards tickets & valentine and to trade and deal in inks printing materials chemicals papers board release paper adhesive plates and printing machinery and to undertake printing and publication of newspapers and magazines including house magazines. To deal in printing and allied industries machinery by holding an agency of manufacturers in India or abroad.The Company has passed a special resolution on 10th February 1995 (a copy of which has been duly filed with Registrar of Companies Maharashtra at Bombay) complying the provisions of Section 149(2A) for allowing the Company to commence new business as specified in clause 43 to 56 in the Memorandum of Association of the Company. The clause 51 of which allows Company to commence manufacturing of plastic containers is as detailed below:51. To carry on the business of manufacturing printing processing distributing selling buying importing exporting and dealing in all kinds of packaging laminated coated materials including made of paper film foil and plastics and all and any other materials that are and that may be for the purpose.The main object clause of the memorandum of association of the Company enables the Company to undertake printing activities; the activities which the Company has been carrying on till date and Clause 51 of memorandum as empowered by shareholders by passing a Special resolution on 10th February 1995 enables Company to undertake manufacturing of plastic containers for which the funds are being raised for the present issue. PRESENT ACTIVITY At present Company is in process of implementation of the project. It is getting its work done through outside contractors. It is also engaged in trading of various kinds of papers card boards and other raw materials used in the printing business. For implementing the proposed project the Company has already acquired the premises on lease at Thana and Andheri. Orders for plant & machineries worth 54.25 lacs have been placed.
