The Company was incorporated as a Public Limited Company on June21 1890 under the Companies Act VI of 1882 to acquire thegoodwill property and assets of the businesses carried on byM/S.George Frederick Pinney. Pursuant to a Special Resolutionpassed and confirmed on April 15 1921 and April 29 1921respectively new Articles of Association were adopted. McLeod &Co Ltd. were later appointed as the Managing Agents of theCompany and from August 15 1960 they were appointed as theSecretaries & Treasurers of the company. The management of thecompany remained with them till the abolition of the System ofManaging Agency and Secretaries & Treasurers on April 3 1970.Thereafter the Company has been under the management andsupervision of its Board Of Directors. The present promoter ofthe company acquired the shares from MoLeod & Co Ltd. in theyear 1988 and has thereafter been associated with the Managementand operations of the Company. The object clause was amended bya Special Resolution passed by the Company at its Extra OrdinaryGeneral Meeting held on August 16 1978 and confirmed by theCompany Law Board vide their order dated April 12 1979.
