Hughes Tele.com (India) Limited was incorporated as Hughes IspatLtd. on March 13 1995 under the Companies Act 1956 withlimited liability and commenced business on March 20 1995.Hughes Ispat Ltd. was renamed as Hughes Tele.com (India) Limitedwith effect from April 26 2000 to reflect the uniquepositioning of the Company against the backdrop of the internetrevolution. The infrastructure to be deployed by the Companywould be state-of-the-art that would enabled the Company toprovide conventional voice and data services as well as a widerange of internet related services.A Joint Venture Agreement dated May 25 1995 between IspatIndustries Ltd HE Corporation Hughes Network Systems Inc. andALLTEL Corporation was signed and subsequently amended andrestated by a Second Amended and Restated Joint VentureAgreement dated September 27 1997 and read with the Amendmentto Joint Venture Agreement dated June 19 2000 (as to amendedthe "Joint Venture Agreement") lays down the management andoperating framework for the Company. The Promoters of theCompany are HE Corporation a leading provider oftelecommunications equipment; ALLTEL Corporation a majoroperator of fixed wire telecommunications services and IspatIndustries Ltd. a steel manufacturing company along with itsassociates.
