Soni Medicare Limited was incorporated on 02.08.1988 underthe name and style of Soni Hospital Private Limited. OnMarch 30 1995 the name of the Company was changed to SoniMedicare Private Limited. Later it was converted into apublic limited company vide a resolution passed in theExtraordinary General Meeting held on 03.04.1995.Consequently the name of the Company was changed to SoniMedicare Limited and a fresh certificate of incorporationwas obtained from ROC Rajasthan Jaipur on 17.04.1995.The Company was promoted by Dr. B.R. Soni Dr.(Mrs.) AnjuSoni Sh. S.K. Soni and Smt. Santosh Soni to own and run aC.T. Scan machine in the premises of Soni Hospital (aproprietorship concern of Dr. Soni). The company commencedoperations in Nov. 92 and has continued to run only the CTScan machine till the takeover of Soni Hospital as on 1stJuly 1995.Soni Medicare Ltd. acquired Soni Hospital (a proprietorshipconcern of Dr. B.R. Soni who is one of the promoters of theCompany) on an as is where is basis along-with all rightsincluding tenancy rights leasehold rights goodwillearned etc. on 1st July 1995 for a total considerationof Rs. 1.0 crore. The entire consideration of Rs. 100 lacsreceived by Dr. B.R. Soni for the above sale has beenre-invested in Equity of SML at par.n
