The Company was originally incorporated as a private limited company under the Companies Act 1956 pursuant to acertificate of incorporation issued by the Registrar of Companies West Bengal dated January 31 2011 with the name‘Silver Pearl Commercial Private Limited’. the Company was converted into to a public limited company and the nameof the Company was changed to ‘Silver Pearl Commercial Private Limited’ by a special resolution passed on November18 2013. A fresh Certificate of Incorporation consequent upon conversion was issued on November 26 2013 by theRegistrar of Companies West Bengal. Subsequently the name of the Company was changed to “Silver Pearl Hospitality& Luxury Spaces Limited” vide fresh certificate of incorporation consequent upon change of name dated January 3 2014issued by the Registrar of Companies West Bengal.
