The Company is an authorisedmember of NATIONAL STOCK EXCHANGE OF INDIA LIMITEDon capital market segment and has received registration fromSEBI as Category I Merchant Banker.The Company is at present engaged in the financial servicesactivities like syndication of bill discountingintercorporate deposit etc. and stock brokerage activities.The main objects of the Company are hilly set Out in theMemorandum and Articles of Association of the Company andalso stated elsewhere in this Prospectus. The main objectof the Company is as under :"To do the Business of Finance leasing Hire Purchase inany field of Capital Market Money and Finance MarketInvestment market in any Industrial Commercial andGovernment enterprises and consumer fields and others byany method systems modes means etc. that may berelevent and appropriate from time to time hereto in Indiaor Abroad together with/without any incidental andconnected activities consultancy advisory services.".PRESENT BUSINESSThe Company commenced its operations in 1991 and theactivities undertaken were money market operations. Sincethen the Company has steadily grown and has added expertisein various areas of financial services. It has alsodeveloped the requisite systems and infrastructure in linewith the market trend and future growth.MONEY MARKET OPERATIONS (BILL DISCOUNTING &I.C.D''s.)As part of the financial services offered to the clientsthe Company arranges short term hind by way of discountingthe trade bills and placement of Inter Corporate Deposits.In this segment the Company has stabilised its operationsin a short span and foresees tremendous growth because ofthe increased usage of such instruments in the Indian moneymarket.INVESTMENT & BROKINGThe Company is engaged in investment in Primary andSecondary Markets. The Company has acquired membership ofNational Stock Exchange. The Company proposes to engage inthe business of corporate broking and institutionalbroking including private placement of securities.MERCHANT BANKINGThe Company is proposing to enter into Merchant Bankingactivities and has already obtained provisional SEBIapproval to act as Category-I Merchant Banker.CREDIT APPRAISALS & MONITORINGThe Company''s credit policy comprises on the one handstringent criteria in appraising credit risk and on theother hand conservative norms for the Company''s creditexposure as follows1. Overall and individual exposures to each industryactivity and client.2. Security of the transaction.3. Balancing between risk and return.The credit norms are distinct for each of the activities 1.Bill discounting.2. Loans and Inter Corporate Deposits. The norm differaccording to value nature period and security offerred fortransaction.The credit procedure begins with the marketing departmentdoing the appraisal for each proposal obtaining approvalthe requisite sanctioning authority flinging fromdepartment head to credit committee of senior executivedepending on the value of the period and nature of theproposal.
