The company was originally incorporated as a privatelimited company on 11th May 1994. The promoters of thecompany are Mr. Praveen Bhatia Mr. Vinod Ralhan and Mr.Arvind Narang however the original subscribers to theMemorandum & Articles of Association were Mr. ArvindNarang and Mrs. Sonika Bhatia. The company has beenconverted into Public Limited Company w.e.f. 17.02.1995.Securities and Exchange Board of India vide its letter No.PMD/REG MB/RA 2941/96 dated 26.02.96 has granted sanctionfor category II Merchant Banker and registration No.MB/INM000008837 has been allotted to it.OTC Exchange of India vide its letter No.CIR/DEAL-OFFER/CP3/1608 dated 24.08.95 granted approval fordealership on the Exchange. The Company has been allottedregistration No.INB200899732 by Securities and ExchangeBoard of India to Act as Stock Broker. Further OTC Exchangeof India has allotted OTC Code No.20-02126-7.Since inception the company is engaged in a diversifiedrange of financial services from conceptualisation of anidea to the operationalisation of the corporate entities.The various services provided by the company includeinvestment in securities project advisory servicescorporate counselling loan/lease syndication arrangingforeign collaborations helping in placement of securitiesto Corporate Clients advising on Capital restructuring andcorporate recruitment services.The present activities of the company can be summarised asunder:1. Corporate and Project Advisory ServicesOver the last decade the capital market image andinvestors perception of a company has become an importantpart of corporate planning which indirectly affect theirfund raising capacity. It is however realised that a largenumber of companies find it difficult to achieve the samefor the want of proper guidance and competent personnel.Clients of the company are being extended to corporateadvisory services in the field of Company Law Stock Marketrelated laws and regulations and management consultancyservices. Project advisory services being offered byPROVESTMENT include project counseling technology tie-upfeasibility studies marketing research loan syndicationliasion with concerned regulatory bodies assistance inobtaining approvals arranging for working capitalrequirements.The Directors in their years of experience in professionand business has already built up a sizeable clientelewhich is constituting the core group to be serviced by thecompany through its Project consultancy & CorporateAdvisory Services wing. The existing clientele includescorporates like Radhika Group of Companies and Elite Groupof Companies (Elite industries Ltd. Elite Appliances Ltd.etc).2. InvestmentsThe company is active in primary market as well assecondary market which are presently being funded out ofequity capital. Investments are being made for short andmedium terms and are based on indepth research ofcompanies. Investment decisions are based on the Company''sequity research department which is managed byprofessionals. It focuses on various micro macrofundamentals and technical factors so as to determinevarious investment opportunities and to provide timelyinformation to individuals and corporate clients. As on30.11.95 the company had made an investment of Rs. 92.00Lacs.3. Foreign CollaborationThe company is also rendering services to its clients forexecution of foreign collaboration. M/s. Roberts Sheridanand Kotel U.S. based professional corporation isproviding consultancy assistance on foreign collaboration.The company has not entered into any formal agreement withM/s. Roberts Sheridan and Kotel and it is acting as theirrepresentative for the execution of the foreigncollaboration. Till date the company has already completedtwo mandates for M/s. Acme Lock Ltd. and M/s. Oswal Groupof Companies and also two projects for M/s. Radhika SmartCard Ltd. and Elite industries Ltd. are in pipeline.4. Fixed Deposit ConsultancyOver a period of time the fixed deposit market haswitnessed a tremendous growth. The fixed deposit wereaccepted by the investing class for its simplicity. Theinvestors has to only fill up the fixed deposit form andmake payments. The deposit receipt is issued by the companyand the person starts getting interest quarterly monthlyhalf yearly and on maturity. Since deposit is one of thecheapest way of raising money for the corporate sector asthe total cost involved is 18% / 19% P.A. and consideringthat these are unsecured loans the corporate sector hasstarted giving the deposit market the proper attention andnow many big companies which were reluctant to acceptdeposit have started accepting deposit in a big way.Provestment has developed a full fledged fixed depositdepartment. The Company takes a job on a turnkey basis fromthe companies who are interested to raise funds throughfixed deposit. The job includes complying with legalformalities appointing principal brokers subbrokersprinting of stationery and procurement of funds. At presentProvestment is acting as Managers to the two fixed depositschemes for Infocom Digital Systems Ltd. and VikasLaminator Ltd. However the Company has not raised anydeposit in its own name so far.
