Telephoto was incorporated on February 2 2000 undertakeinter-alia business of production of tele-films tale-serialsand cinematographic films. The Company is promoted by Mr.Suresh Menon and his wife Mrs. Asha Menon (better known as andhereinafter referred to as Mrs. Revathy Menon). Mr. SureshMenon is a Cinematographer/Director with over 22 years ofexperience in the entertainment industry and Mrs. Revathy Menonis a national award winning cine actress.The main objects of the Company as laid down in the Memorandumof Association to be pursued by the Company are:1. To produce buy sell import export distribute exhibitrecord duplicate or otherwise deal in cinematographic filmstelevision films tele serials tele movies short moviescorporate films advertisement films documentary filmsanimation films cartoons video films and video cassettesaudio cassettes albums compact Discs connected with the aboveand deal with all types of connected rights with reference tothe above in and outside India.2. To establish purchase take on lease or hire studioslaboratories Cinemas picture places Halls Theatres forproduction processing recording dubbing editingduplicating conducting shows exhibiting including printing offilms in and outside India.3. To carry on in India or elsewhere the business ofexhibitors and distributors production marketing and technicalconsultants selling agents indenting agents liaison agentsrepresentatives importers and exporters in all theabove-mentioned products.The main object clause of the Memorandum of Association of theCompany enables the Company to undertake the activities forwhich funds are being raised in the present Issue and also theactivities which the Company has been carrying on till date.Telephoto has acquired the assets work-in-progress and filmlibrary copyrights of Telephoto Films a proprietorship concernof Mr. Suresh Menon. Telephoto has contracts with Sun TV totelecast two daily Tamil serials namely "Nirangal" (Monday toFriday 5 Episodes a week) and "Boom Boom Shakalaka" (Monday toFriday 5 Episodes a week). It has contracts with Gemini TV totelecast two daily Telugu serials namely "Anthariyalu" (Mondayto Friday 5 Episodes a week) and "Boom Boom Shakalaka" (Mondayto Friday 5 Episodes a week). It has a contract with Surya TVto telecast one daily Malayalam serial "Boom Boom Shakalaka"(Monday to Friday 5 Episodes a week).In March 2000 the Company placed 875000 equity shares of facevalue Rs. 10 each at a price of Rs. 60 per share aggregating Rs.525 lakhs with venture capital and private equity investors.The funds raised are being/will be used to meet the workingcapital and other business requirements of the Company and doesnot form part of means of finance for the proposed project.For the period from the date of incorporation to March 31 2000the Company had a total income of 96.97 lakhs and profit aftertax of Rs.6.74 lakhs.
