The Company was incorporated originally on 17th September 1991in the name of Rajiv Ratna Cine Enterprises Pvt. Ltd. andsubsequently converted into a Public Limited Company with effectfrom 26th June 1995 and the name has been changed to PadmalayaTeleflims Limited with effect from 28th July 1995. The Companywas promoted by Mr. G.V. Narasimha Rae & Mr. G. Vara Prasad.Mr. G.S.R. Krishna Murthy and Mr. G. Adiseshagiri Rao wereinducted as Co-Promoters in 1995. Mr. G. Vara Prasad resignedfrom the Board in 1995 and Mr. G.S.R. Krishna Murthy and Mr. G.Adiseshagiri Rao were appointed as Chairman and ManagingDirector respectively.The Company is engaged in making Telefilms and ventured into theproduction of television software in the year 1995 with amega-serial Jai Veer Hanuman which was premiered on Sony in Feb1996 as a part of its launch mix. This was soon followed byBuddha on Sony television. Both these programmes went ontooccupy the top TRP ratings on the channel. (Source: Times ofIndia 5th April 1996). While JVH was telecast for 100 episodesBuddha ran for 26 weeks.The expansion of activities as also the launch of the megaserials was facilitated by an Equity-cum-debt bought out dealwith M/s. Reliance Capital Limited Kothari Pioneer Mutual Fundand Reliance Vision Fund which provided Rs.6 crores for thetotal funding in Phase I of the business plan of the Company.The original project cost of Rs.92.5 million was funded by anEquity of Rs.52.5 million and debt of Rs.40 million. Theproject was implemented as per plan - the studio with all itsshooting and post-production units were ready on schedule withno cost overruns.The national programs were accompanied by a sizeable presence ofTV programs on the local DD-8 channel in Telugu. The companywas commissioned by DD-8 to run a 1 hour program slot everyevening five days a week. The launch of Various Channels inTelugu and their subsequent success led to programmingopportunities. Simultaneously feature films from the librarywere being telecast on Doordarshan through the auspices of NFDCon affixed payment of Rs.30000/- per film - an arrangementthough not very remunerative helped the Company to eventuallymove on to direct contracting of feature films with DD andvarious other channels through excellent sponsorship and/orminimum guarantee slots. In the first year itself the Companylaunched 2 mega serials and over 200 hours of software coveringnearly 15 serials on DD-8/various channels.There are no Pending Litigations against the Company.There has been no default in meeting statutory duesinstitutional dues and other dues and claims against PTL.Further there have been no prosecutions criminal or civillodged against PTL.There are no Over Dues Defaults to the Financial Institutionsor banks re-schedulement of Loans to Bank or FinancialInstitutions by the Company.The Company has 254 members as on 13/04/2000 (Being the date offiling of the Prospectus with Registrar of Companies AndhraPradesh at Hyderabad).Some Facets* PTL has linkages with Gemini Sony Vijay Uday SitiCableetc.* The company has a full fledged integrated studio in thePadmalaya Complex at Hyderabad.* PTL also has over 200 Telugu films in its library and hassuccessfully used this to generate revenues from telecasts invarious channels.* The company has a Marketing set-up for promoting its productsand selling the available air time.* It has drawn marketing strategy for selling of its MegaMythologicals - JVH and Buddha across the globe.
