The Company was functioning in the name and style of SSL FinanceLimited after being incorporated in the year 1994. The companywent for a Public Issue in May 1995 and the Issue Size wasRs.180.00 lacs open to Public. The Public issue was fullysubscribed. The Post Issue Equity Share Capital was Rs.300 lacscomprising 30 lac Equity Shares of Rs. 10/- each.The Company was originally promoted by Shri D. Ravisankar andhis associates and the associates are Shri S. Durai and Shri V.P.Ramanathan who are subscribers to the Memorandum and Articles ofAssociation of the Company. Presently Shri S. Durai is not inthe management and the Board of the Company.The Company''s name has been changed to Archana Software Limited(hereinafter referred as "the Company") pursuant to approval ofShareholders at the Extra-Ordinary General Meeting held on 28thOctober 1998 and obtained fresh Certificate of Incorporationconsequent to change of name on 7th January 1999 from theRegistrar of Companies Tamilnadu Chennai.The Company is now engaged to carry on the business in India orelsewhere of developing and providing computer softwaresoftware packages by way of technical know-how manpower for theprojects in India and lor abroad software development servicesmaintenance services facilities management services andconsultancy services relating to computer systems softwaresystems engineering and information processing to organizationsand/or Government in India and/or abroad.The company has during the current year of operation viz. From1-4-99 upto 31-12-99 been able to achieve a turnover ofRs.789.28 lacs on software operations namely(a) Fusion of System Integration in Telecommunication Rs.325.64 lacs(b) Telecommunication Software in Signalling Rs.400.60 lacs(c) Software in Transmission in Telecommunicationand Rs.063.00 lacs(d) Tamil Word Processor "Padhami". Rs.000.04 lacsThe customers for the above orders are locally based at Chennai.But the products developed have application throughout thecountry.None of the Directors are interested in the firms/companies withwhom the above orders were executed.The company is also engaged in the business of placementservices for Software projects in India and/or abroad.The company has taken note of the decision by the localGovernment in Tamilnadu to implement the regional language ofTamil in all spheres of activities. In this context the Companyhas already tied up for marketing the products of Tamil softwarelike Kuralamudhu & Padami 2.0. THIS SOFTWARE IS THE FIRSTMULTIMEDIA TAMIL SOFTWARE.PRESENT BUSINESS OF ARCHANA SOFTWARE LTD.1. The company is actively engaged in developing the domaine-com website and constantly developing portals to add contentto the site.2. Developing interactive interface software to educate the useof various Operating Systems (OS) in regional language.3. Software solutions particularly in internet applications anda commerce.4. Customised software solutions for shipping is in progress.5. The Company is actively marketing multimedia CD titledKuralamudhu which is highly educative and informative.The Company does not have any subsidiary as defined under theCompanies Act 1956 or otherwise.
