Keynote Corporate Services Limited (KCSL) was incorporated as a Private Limited Company on June 16 1993 and was subsequently converted into a Public Limited Company on November 5 1993 in terms of the Special Resolution passed at the Extra Ordinary General Meeting held on 11.10.1993.Subsequent to its incorporation KCSL attained Category I status and is approved Merchant Banker under Regulations of Securities & Exchange Board of India. Since then KCSL has focussed its principal lines of business in the areas of Issue Management. KCSL entered the capital market with a maiden offering of Rs. 75.44 lakhs in August 1994. The requirements of funds crystallised at that point of time and the sources are detailed below:Issue Management and Underwriting:As mentioned elsewhere in the Prospectus KCSL was incorporated in the year 1993 and commenced its operations in the last quarter of 1993. It was granted a Category I registration by SEBI with effect from December 15 1993. Subsequent to its incorporation KCSL has been one of the active players in the field of Issue management and to its credit has lead managed over 43 mandates from April 1994 to March 1995.In recognition to its performance KCSL was ranked 9th amongst lead managers and 3rd amongst private merchant bankers on an All India Basis for the number of issues managed between April 1994 to March 1995 by PRIME Database. The same agency ranked KCSL 28th with respect to the amount raised in the capital market. Spurred by its success KCSL is consolidating its operation in this field and has over 30 mandates in the pipeline for the current year.Among others KCSL has been associated with some of the prominent corporates like Alchemie Organics Limited Punwire India Limited Bafna Spinning Mills & Exports Limited Cosboard Industries Binani Zinc Limited etc.Apart from being an active player in the areas of the issue management KCSL participates in other issues as an Underwriter.The underwriting activity is treated on par with any credit extension and thus all underwriting proposals are strictly evaluated for their merits vis-a-vis issue structure pricing management and the industry outlook. KCSL has extended underwriting support in 203 public issues for an amount of Rs. 3698.88 lacs between April 1994 to March 1995. The Company''s strength for all its underwriting exposures as also its primary market issues stems from the fact that it has developed a very effective database of corporates as well as high networth individuals. To effectively spread its database to its Non Residents Indian group the Company has associates in Middle East and Far East.Leasing & Hire PurchaseLeasing industry in the Country has carved itself an important place in the Corporate Finance. KCSL has been conducting leasing and hire purchase operations in a smaller way which in turn offer a tax shield to the Company as well as regular returns by way of lease rentals and repayment of hire purchase stocks.Keynote''s leasing division is headed by a team of professionals and the Company extends lease credit to corporates of repute.For the year ended March 1995 the leasing portfolio of the Company stands at Rs. 270.00 lacs.Research Division:The company has developed an inhouse software programme for equity research and analysis and has also acquired a software from DART namely "Stock Watch". The Company has also acquired a software for PMS from DART. The company has a upto date library having latest books on equity research trends International finance Stock Market data and economy. The company has established an equity research cell comprising of qualified professionals for servicing its own portfolio and also acting as consultants for its corporate clientele. The research cell presently operates on a very small scale. With the growth of the organization and expansion of portfolio management activities the company will strengthen the research cell. The company constantly updates its database on listed companies and Indian industries.This division assumes an important role and would facilitate decision making on investments in the primary as well as secondary market.The research reports prepared by this division are also utilised for placement services with various mutual funds institutions FIIs NRIs etc.The research report provides advise on fundamental analysis of scrips their inherent strengths and weaknesses to take an informed investment decision.Some of the activities like preparation of project reports/appraisals identifying projects extending underwriting supports in issues lead managed by others are conducted in consultation with this division.
