INTEGRA CAPITAL MANAGEMENT LIMITED (ICML) was incorporatedon 02-05-1990 as a private limited Company under theCompanies Act 1956 and registered with the Registrar ofCompanies Delhi & Haryana at New Delhi. The Companybecame a public limited Company on 09-03-1993 and obtaineda fresh Certificate of incorporation from the saidRegistrar of Companies on 04-05-1993.The company was primarily engaged in fund based operationslike leasing hire purchase and short term loans. Uptill1994 the fund base of the company came from the promoterscontribution as well as deposits from friends relativesand associates. The client base was focused on the networkcreated from over 35 years experience and contacts of theChairman in his professional capacity. For the period31-03-92 to 31-03-95 the company recorded an increase ofover 27 times in the profitability. In the year 1993-94the company also availed of a cash credit limit of Rs 50.00lacs from Bank Of India for leasing activities which wasenhanced to Rs 100.00 lacs in the year 1994-95 vide theirNo. NDIFC:CAD:RKS:11:2496 dated 12.12.94. The company wasalso assigned Credit Rating "AA" and Health Code 01signifying satisfactory nature of account and denotingexcellence in quality of management financial standinginformation system financial dicipline and average inancillary business by the Bank of india vide their letterref. NDIFB:CAD:RKS dated 09.03.95.In the year 1993-94 the company also undertook a series ofreports commisioned by the American international Group inthe areas of financial services infrastructure andinsurance reforms. On 1.04.1994 the company entered into aone year contract with American international Group at amonthly retainership of Rs. 50.000 and this contract hassubsequently been extended for an indefinite period by thecompany.The company went in for voluntary CRISIL rating to enhancethe credibility of its Fixed Deposit Program and receivedan investment grade credit rating "FA- "denoting adequatesafety with regard to timely payment of interest andprincipal vide their letter #GVM/lCML/022-95 dated.28.01.95.The company is an accredited Category-I Merchant Banker andregistered with the Securities & Exchange Board of Indiavide their Certificate of Registration # MB-INM000005528dated November 161994. The company has also obtainedtrading membership of National Stock Exchange (NSE) videtheir letter dated August 71995. However the samemembership shall be transfered in the name of group Companyintegra Securities Pvt. Ltd. in view of the membershiprequirement of NSE. The Company integra Capital ManagementLtd. at present holds 23.5% of the paid up share capital ofthe integra Securities Pvt. Ltd. The fees for themembership of the NSE shall be paid by integra SecuritiesPvt. Ltd. and the same has not been considered in thefinancial projections/cost of project of integra CapitalManangement Ltd.The present activities of the Companarn LeasingMerchantBanking Bills Discountingintercorporate Depositsinvestment in Shares and Securtties and Corporate AdvisoryServices.
