The Company was incorporated as Private Limited Company onJanuary 9 1985 with the Registrar of Companies Maharashtra atBombay with the main object of carrying on the business ofmanufacture and exports of cotton handloom furnishing fabricsand made-ups. The Company has its own handloom unit at PanipatHaryana spread on an area of 16900 sq. mtrs. with thefacilities to manufacture in-house products of Jacquard LoomsFrame Looms Pitlooms Punja Looms Handtuffted looms and a DyeHouse with a capacity of 8000 kg/day.The Company became a Public Limited Company on January 27 1994under the provisions of Section 43 A(1A) of the Act. TheCompany was subsequently converted into full fledged PublicLimited Company by a Resolution passed under Section 31 of theCompanies Act 1956 at the Extra-ordinary General Meeting heldon May 27 1994 the Articles of Association of the Company weresuitably modified and a revised Certificate of Incorporation wasobtained from the Registrar of Companies Maharashtra at Bombayon September 15 1994. The Company has with effect from31-03-94 taken over the business of ARR Products a soleproprietory concern of the Managing Director dealing in the samearea of activities as the Company pursuant to a resolutionpassed by the Board on June 18 1994 for total consideration ofRs. 122.55 lacs. The Company''s Registered Office was shiftedfrom B-11 Commerce Center Tardeo Road Bombay - 400 034 to thepresent one with effect from August 18 1994.The Company is a Government Recognised Export House and itsentire exports are to the hard currency areas such as JapanEurope U.K. and North America. Being import-independent it isa 100% net foreign exchange earner for the country.
