Continental Controls was Incorporated as a Public LimitedCompany vide Certificate of Incorporation dated 2nd March1995 issued by the Registrar of Companies MaharashtraBombay. The Company obtained its Certificate ofcommencement of business on 30th May 1995. It took overthe Partnership firm M/s. Continental controls. Thepartnership firm M/s. Continental Controls was formed on2nd April 1993 to implement the project of manufacturingThermal Overload Protectors. For implementation the firmhad acquired the plot of land and had commenced theconstruction of factory building. They had also procuredsome machinery and had placed orders for the balanceequipments. Till the date of assignment the firm had notstarted any manufacturing activities and hence there is nobusiness activities carried out by M/s. ContinentalControls. The partners of the firm are the core promotersof the Company. Vide Deed of Assignment dated 1-6-95. theCompany has taken over all immovable and movable assets andliabilities of partnership firm M/s. Continental Controlsas a going concern at its book value of Rs.12341500/-and allotted 1234150 Equity shares of Rs.10/- each fullypaid up to the partners of the firm as consideration.There are no other listed Companies in the group.
