The Company was originally incorporated as a Private LimitedCompany on 13th March 1985 in the name of Appu Industries Pvt.Ltd. under the Companies Act 1956. Thereafter vide a specialresolution passed in the Shareholders meeting held on September02th 1993 the restrictions under Section 3(1)(iii) of the Actwere deleted from the Articles of Association of the Company andCompany as such became a Public Limited Company within themeaning of Section 3(1)(iv) of the Act. The name of the Companywas changed to Appu Industries Ltd. on and from October 19th 1993and a fresh certificate of incorporation was issued to thateffect. The Company has its registered office in Calcutta WestBengal.Present Operationsa) Computer EducationThe Company provides industry relevant courses both forprofessionals and students. It is the largest franchisee ofComputer Point Ltd. The whole Eastern Region of India is0....................covered by the Company. One of its courses has been accreditedby Birla Institute of Technology Ranchi Mesra. It is thefirst time that accredition has been received by a PrivateInstitute from a deemed university. BIT will award auniversally accepted diploma for students passing through theComputer course during its normal convocation programme.b) Corporate Training ProgrammeThe Company has to its credit a very large base of corporateclients where training programmes are conducted. The clienteleincludes SAIL ITC Mitsubishi Air India etc. The Company hasconducted courses in DOS Wordstar D-Base Lotus and otherapplication packages depending on the requirements of eachCompany.(c) Software Development and ConsultancyThe R & D division of the Company is mostly engaged indeveloping integrated custom built packages for corporates.Software development is in the areas of accounting inventorycontrol production planning and control CPM/PERT analysis etc.The Company is profit making engaged in the field of computereducation computerisation and computer aided management in thecorporate sector and software consultancy. It has developed anumber of software and education packages for implementingcomputer based management systems.MOU with Computer Point Ltd.The Company has entered in to a MOU with Computer Point Ltd.(CPL) the salient features of which are as under:a) The Company will be the exclusive and sole franchisee of allthe education centres of CPL for the whole of India;b) CPL will transfer to the Company all its education andconsultancy business with its goodwill trade name and trademark. Hence forth CPL will not turn or conduct any suchbusiness in competition or against the business interest of theCompany. c) CPL agrees to transfer its trade logo and goodwill of allcentres to the Company and hereafter will not use the trade logo"Computer Point Education or Computer Point Learning Centre:which it has transferred to the Company.d) All systems methodology know-how support materialscoursewares advertisement guide books etc. will betransferrerd by CPL to the Company.e) All old dues outstandings etc. will be to the account ofCPL. f) The agreement will be evergreen i.e. there is no expiry ofthis agreement.g) The Company will pay Rs.100 lakhs to CPL over a period of 2years.
