Amit International Ltd. (AIL) was incorporated as a PublicLimited company on the 18th February 1994 in the state ofMaharashtra with its Registered Office at 403 A. DalamalChambers 29 New Marine lines Bombay for the manufactureof cotton sports socks. The Company bad obtainedcertificate of commencement of business on February 231994. The Company after its incorporation took over thepartnership firms of Amit Exports (India) & Minal Exportson September 30 1994. Amit Exports (India) and MinalExports existing profit-making partnership firms engagedin the manufacture of Cotton Sports Socks were establishedin the year 1988. On September 30 1994 the partnershipswere dissolved and Amit International Ltd. became theproprietor of the two concerns. AIL continued the existingprofitable business of manufacture and export of cottonsports socks in the same names but as proprietary concern.The assets of the partnership concerns HAVE NOT BEENREVALUED and were taken over by the company at book valueand no goodwill has been charged to AIL for the take over.The other existing partners retired from the partnershipfirms and were allotted shares in Amit International Ltd.in lieu of their capital accounts as on September 30 1994.
