(AAA) was incorporated as a Public Limited Company under the Companies Act. 1956 on 21st April 1995 in the State of Andhra Pradesh with the main objective of manufacturing and marketing Agarbathies. It obtained the Certificate for Commencement of Business on 28th August 1995.The Company belongs to the Ambica Group based at Eluru having interest in Agarbathi making Agriculture and Exports.The group''s flagship Company M/s. ACP Industries Ltd. formerly known as Ambica Chemical Products. (Regd.) Eluru. (ACP) has been in the business of manufacturing `Ambica'' brand agarbathies for the past 50 years ACP had initially started with the manufacturing and marketing of `Ambica Durbar bathies'' and subsequently added a range of `Ambica'' scented agarbathies to its product line to cater to the various needs of consumers in different segments of the agarbathi market. ACP gained a strong foothold in the agarbathi market in the states of Andhra Pradesh. Tamilnadu & Orissa with a welt experienced distributor network developed Over 50 years.Having established itself in the Southern Markets with an intent to launch the products in the states of Bihar Maharashtra & Madhya Pradesh ACP test marketed its products in the said states with an encouraging response. Thus far having run the business with a highly conventional and conservative approach as is the wont in any family run concern the management felt the need to professionalise their operations considering the all India markets that they were now aiming to cater to and at the same time to retain the exclusivity of certain proprietary technical information.To this effect ACP promoted AAA as a professionally managed Company with the promoting company (ACP) retaining certain technical information pertaining to the manufacture of Ambica Durbar bathi'' and concentrating on furthering the group''s promotional plans in terms of other ventures in the future.Thus ACP will continue to manufacture only `Ambica Durbar bathies'' whereas the distribution rights for the same have been exclusively handed over to AAA for a period of 20 years the details of which are furnished below. AAA will concentrate on - manufacturing and marketing scented agarbathies whose Trade marks have been acquired from ACP on an exclusive basis- Introduction of new brands of scented agarbathies- Launching of the Company''s products in new markets and- Distribution of `Ambica Durbar bathi'' procured from ACP
