KMC Hospital Indirect Encumbrance and Shareholding Details
Catalyst Trusteeship Limited disclosed the creation of an indirect encumbrance in relation to the shares of KMC Speciality Hospitals through the shareholding of SKMCIL.
SKMCIL holds 12,23,13,750 equity shares in KMC Speciality Hospitals, representing 75% of the issued and paid-up share capital of the target company.
A pledge was created over 74,10,831 equity shares of SKMCIL, representing 14.53% of SKMCIL's fully diluted shareholding, in favour of the Debenture Trustee for the benefit of debenture holders.
In addition, a non-disposal undertaking was created over 1,65,32,316 equity shares of SKMCIL, representing 32.40% of its fully diluted shareholding, also in favour of the Debenture Trustee.
Together, the pledge and non-disposal undertaking cover 2,39,43,147 equity shares of SKMCIL, representing 46.93% of its fully diluted shareholding.
The filing clarifies that the encumbrance is indirect, as it arises through the pledge and non-disposal undertaking over SKMCIL's shares and not through any direct pledge or other encumbrance over the shares of KMC Speciality Hospitals.
