Orient Press plans to divest its Tarapur factory unit, with the proceeds intended to support working capital needs, expansion plans and other business requirements.

Orient Press Approves Sale of Tarapur Factory Unit

Orient Press Ltd. has approved the proposed sale or disposal of its factory unit located at the MIDC Tarapur Industrial Area in Boisar, Maharashtra. The company said the transaction could involve the sale, transfer, lease or another form of disposal of the unit.

The proposal will now require shareholder approval at the company's upcoming 38th Annual General Meeting. Once approved, Orient Press expects to complete the transaction within six months.

Divestment and Financial Details

  • Expected Consideration: The company expects to receive not less than Rs. 24 crore from the proposed transaction.
  • Unit Contribution: The Tarapur unit contributed Rs. 6.73 crore, or 5.26%, to the company's consolidated turnover in FY 2025-26.
  • Net Worth: The unit had a net worth of Rs. 19.17 crore, representing around 29.72% of Orient Press's total net worth as of March 31, 2026.
  • Buyer Yet to Be Identified: The company has not finalised a buyer for the unit.

How Will the Sale Proceeds Be Used?

Orient Press plans to utilise the proceeds primarily for its working capital requirements, future expansion plans and other general business purposes. The company may also use part of the funds to repay a portion of its working capital borrowings from banks.

The company further clarified that the eventual buyer will not be part of its promoter or promoter group, and the proposed transaction will not qualify as a related-party transaction.

What to Watch Next

The key development to watch will be the shareholders' approval at the upcoming AGM and the identification of a buyer for the Tarapur factory unit.
