Krishival Foods Issues Reminder for First and Final Call Payment on Partly Paid-Up Shares

The Rights Issue Committee of Krishival Foods approved the reminder notice on September 18, 2026 for holders of the outstanding partly paid-up equity shares.
Shareholders are required to pay Rs 195 per share, consisting of Rs 6.50 towards face value and Rs 188.50 towards premium. The payment period is for 14 days, from Tuesday, September 22, 2026, to Monday, October 5, 2026.
The company has also approved a waiver of interest on delayed payment of the First and Final Call. Therefore, eligible shareholders will not have to pay interest on the delayed call amount under this reminder notice.
Krishival Foods Partly Paid-Up Shares Conversion
The company had originally made the First and Final Call on 33,33,160 partly paid-up equity shares. During the initial payment period, the company received First and Final Call money for 27,72,120 partly paid-up equity shares.
Of these, corporate actions for 27,72,095 shares were completed and the shares commenced trading on August 18, 2026, while the remaining 25 shares were pending corporate actions due to technical errors in the concerned shareholders' demat accounts.
Accordingly, 5,61,040 partly paid-up equity shares remain outstanding on which the First and Final Call is unpaid.
Krishival Foods Shareholder Impact
Trading in the outstanding partly paid-up equity shares has remained suspended since July 13, 2026 due to the First and Final Call.
Shareholders who make the required payment during the payment period will be allotted fully paid-up equity shares with a face value of Rs 10 each, subject to completion of the required regulatory and corporate actions. The company expects this process to be completed within 2–3 weeks from the last date of the payment period, after which the fully paid-up equity shares are expected to become available for trading.
Failure to pay the First and Final Call may result in the company applying future dividends towards the outstanding amount, if decided by the Board or Rights Issue Committee. The partly paid-up shares may also be liable to forfeiture in accordance with the applicable provisions and the company's offer documents.
