Our company was incorporated on October 8 2004 with the main object of manufacturing exportingTrading buying and selling of Oral Hygiene products (including tooth brushes & tooth paste) whether rawsemi-finished or finished products and procured certificate of commencement of business on May 6 2005.We decided to set-up up integrated facility at Kala Amb District Sirmour in the State of Himachal Pradeshto manufacture Oral Hygiene products. The history of our Company goes back to the history of three firms namely M/s Sunehari Oral Care & M/sJai Hanuman Exports of which Mr. Mr.Nikhil Nanda was the proprietor and M/s Sunehari SvendgaardLaboratories of which Ms. Sushma Nanda was the Proprietor. These concerns manufactured oral careproducts for private label manufacturers of various national and international brands selling those productsunder their name.In August 2005 the subscribers to Memorandum and Articles of Association viz. Mr. Nikhil Nanda andMs. Sushma Nanda analysing the potential in both Indigenous as well as International oral health caremarket and to have synergies of operations decided to consolidate and corporatise the business by takingover the running business of these proprietorship concerns.Our Company vide agreement dated July 27 2005 and supplementary agreement dated August 1 2005took over the running business of the above three-proprietorship concerns w.e.f. April 1 2005 by valuingthe assets and liabilities at their book values. In lieu of the takeover of these business our Company issued30 lacs equity shares of Rs. 10 each at par out of which 111400 equity shares to Ms. Sushma Nanda and2888600 equity shares to Mr. Nikhil Nanda and in addition to this we paid cash Rs. 20.20 lacs and Rs.432.95 lacs to the respective parties.Our Company has recently started manufacturing and supplying whitening products as private labelmanufacturer including mouth rinse and whitening gel for one of our customers which have beenintroduced for the first time in the Indian market.Our Company proposes to set up a integrated manufacturing facility including Anchorfree toothbrushmanufacturing facility in Sirmour Kala Amb Himachal Pradesh and also proposes to increase the installedproduction capacities of existing products at NSEZ to cater the needs for indigenous as well as internationaloral care market and become a one-stop solution for Dental Products.The brief profile of erstwhile proprietorship concerns which were taken over by us are as under:Unit I - Sunehari Svendgaard LaboratoriesSunehari Svendgaard Laboratories was established as partnership concern by Mr. Nikhil Nanda Ms.Sushma Nanda and their relatives & friends on August 1 1997. It was constituted to do the manufacturingand trading of toothbrushes all kinds of household goods plastic goods including additional accessories fortoothbrush like tongue cleaner packing tray hygiene cap etc. and all other allied goods.The partnership was terminated on March 31 2002 by a dissolution deed and on April 1 2002 SSL wassubsequently constituted as proprietorship concern under the control of Ms. Sushma Nanda with the sameobject and continued its business till July 26 2005 and was finally taken over by our Company.Achievements2004 : JHS Svendgaard Laboratories Limited was incorporated2004 : Unit III-JHE was awarded as the Top Exporter of Toothbrushes and Dental Plates from India as certified by PLEX Council (sponsored by Ministry of Commerce)2005: Takeover of the three concerns which are currently the three unit of the Company viz. Unit I- SSL Unit II - SOC and Unit III - JHE on a going concern basis by valuing the assets and liabilities at their book values India?s first manufacturer of toothbrush range with Whitening bristles by releasing CaCo3 + NaF imported from PEDEX Germany2005: Unit III-JHE became eligible for the Star Export House status and applies for registration as Star Export House.
