The Company was incorporated on November 24 1993 with theRegistrar of Companies Maharashtra at Bombay as a privateLimited Company. The Company was subsequently convertedinto a public limited company by passing a SpecialResolution in the Extra-ordinary General Meeting held onDecember 9 1994 and a Certificate of Change of Nameconsequent to such conversion was obtained from theRegistrar of Companies on December 22 1994.PRESENT ACTIVITIESThe Company is presently engaged in the business offinancial services with Merchant Banking and FinancialAdvisory Services as the thrust areas.With effect from December 1 1994 the Company has beenregistered as a Category I Merchant Banker by SEBI. TheCompany is also a corporate member of Saurashtra KutchStock Exchange Limited Rajkot. The Company is also engagedin Investment Banking activities like trading andinvestment in shares stocks and securities.Brief details of the services presently being rendered bythe Company are as under:MERCHANT BANKINGa)Issue ManagementThe Company is handling capital issue managementassignments as Lead Managers/Co-Managers/Advisors etc.rendering complete range of capital issue managementrelated services. Within three months of its obtaining SEBIauthorisation the Company has already handled fourassignments as Co-Managers/Advisors and has been mandatedfor 15 capital issues as Lead Managers which are inadvanced stages of execution. b) Underwriting The Company has extended underwriting assistance to over 45capital issues till 28th February 1995 and the amount ofsuch underwriting assistance accepted by issuer companiestill 28th February 1995 is over Rs. 350 lakhs.c)PlacementsThe Company is actively engaged in placement of capitalissues with bulk investors like FinancialInstitutions/Banks Mutual Funds Foreign InstitutionalInvestors Non-Resident Indians Corporate Bodies etc. onfirm basis.FINANCIAL ADVISORY SERVICESThe Company has developed capability and is activelymarketing its financial advisory services to the corporatesector which include identification of new projectspreparation of Project Reports Organising/conductingtechno-economical feasibility study/appraisal ofprojects syndication of term loans/working capitalfinance syndication of bought out deals syndication oflease HP & asset credit Finances ICDs finance againstshares and securities etc.INVESTMENT BANKING ACTIVITIESThe Company is actively engaged in trading and investmentsin shares stocks and securities. Deployments in InvestmentBanking activities are made both through primary andsecondary market investment operations. Short termsurpluses of the Company are also deployed in short termICDs etc.MAIN OBJECTS OF THE COMPANYThe main object of the Company as set out in the Memorandumof Association of the Company is as under:To act as financial and investment consultants or managersto carry out appraisals and feasibility studies of new andexisting projects and to advise and assist in working outproject cost and means of financing and for that purpose toparticipate in and manage any resource mobilisationprogramme and to render all capital issue managementservices including sponsoring pricing marketingunderwriting and managing private or public flotations ofsecurities or other financial instruments by any Governmentor Public Authority or Body or Company and to act asRegistrars and Share Transfer Agents.A Special Resolution passed at the Extra Ordinary GeneralMeeting of the Company held on November 9 1994 hasapproved inter alia the commencement of the followingactivities which appear under "Other Objects" in theCompany''s Memorandum of Association:To carry on and undertake the business of hire-purchaseleasing and to finance lease operations of all kindspurchasing selling hiring or letting on hire all kinds ofplant and machinery and equipment that the Company maythink fit and to assist in financing of all and every kindand description of hire purchase or deferred payment orsimilar transactions and to subsidise finance or assist insubsidising of commodities of all and every kind anddescription upon any terms whatsoever and to purchase orotherwise deal in all forms of immovable and movableproperty including lands & buildings and to lease orotherwise deal with them in any manner whatsoever includingresale thereof regardless of whether the property purchaseand leased be new and/or used.To carry on business of leasing hiring selling lettinghire-purchase hire-purchase financing or on deferredpayment or similar basis all items all types of equipmentsplants machineries appliances furniture medicalinstruments vehicles vessels warehousing movable andimmovable properties ships aircrafts computers and otherassets and to provide leasing and otheradvisory/counselling services to other entities.SUBSIDIARY COMPANIESoThe Company does not have any subsidiary.
