The Company has been incorporated as private Limited Company on4th March 1986 with the Registrar of Companies Delhi & Haryanaat New Delhi. It has become a Deemed Public Company on 1st ofJuly 1991 pursuant to provisions of Section 43 (1A) of theCompanies Act 1956. Thereafter shareholder of the Companypassed a Special Resolution on 28th April 1994 deleting therestrictive clause under Section 3(1)(iii) of the Companies Act1956 and as such Company became fully Public Company within themeaning of Section 3(1)(iv) of the Companies Act 1956.The commercial activities of the Company has been started in theyear 1987 by Sh. Rohit Prasad and Sh. Rajat Prasad after theirappointment as Directors of the Company. In 1988 the Companyformally started the marketing of Public Deposit Schemes ofvarious public and private sector companies and corporateadvisory services. During 1989-90 the Company diversifiedinto money market dealings and investments in securities.The Company is presently engaged in following activities:i) Marketing:The Company started marketing of public deposit schemes ofvarious companies in 1988 and marketed deposits of over 100companies. The Company has recently been appointed Manager cumBroker by Steel Authority of India Limited (SAIL) for marketingits deposit scheme. The Company had mobilised depositsexceeding Rs.200 million till 30th June 1994. The Company isan agent for various mutual funds and has collected substantialfunds for them. The Company also markets units bonds anddebentures of public and private sector companies in retailthrough its network of agents and representatives. ii) InvestmentsThe Company invests its surplus funds in various securities andover a period of time has built up an excellent portfolio ofscrips. The investment includes equity shares and debenturesthe market value of which is Rs.124.30 lacs as on 31.03.1994against a book value of only Rs.39.40 lacs. The portfolioincludes shares of companies like HDFC Lupin LaboratoriesRanbaxy Laboratories ITCA Agrotech etc. acquired at very lowprice and which have appreciated over a period of time.iii) Corporate Advisory ServicesThe Company is actively providing corporate advisory serviceslike arranging for bill discounting inter corporate depositsfund placement and investment in money market instruments. Ithas an existing client base of blue chip companies institutionsand high networth clients. These activities has been started inthe year 1988-89 and income of over Rs.2.50 millions has alreadybeen booked since then.MAIN OBJECTS OF THE COMPANYTHE MAIN OBJECTS OF THE COMPANY AS SET OUT IN THE MEMORANDUM OFASSOCIATION ARE AS UNDER:1. To advise and carry on trading in commodities bullionsecurities and stocks and shares metals cotton grain seedsoil or in any other commodities as permissible under law.2. To act as brokers factors finance agents wharfingerssurveyors and underwriters in India or elsewhere.3. To act as Agents/Managers Issue House Mangers/consultantsto issue Transfer Agents and guarantee Agents.4. To carry on in all their aspects the business of hirepurchase general finance film finance investment trusts andinvestment brokers.5. To give or accept any guarantee for the payment of money orthe performance of any obligation or undertaking to open pawnhouses and safe deposit vaults.6. To carry on the business of a leasing and hire purchasefinance Company and to acquire to provide on lease or toprovide on hire purchase basis all types of industrial andoffice plant equipment machinery vehicles buildings andreal estate required for manufacturing processingtransportation and trading business and other commercial andservice business.The Company by passing a Board Resolution under Section 149 ofthe Act on 30.12.1986 had taken up the business included in subclauses 31 32 and 33 of Other Objects "C" of the Objects Clauseof the Memorandum of Association of the Company which arereproduced below:To invest the money in stocks shares movable or immovableproperties bullion jeweler pearls precious stones gold andother alike articles and goods for capital appreciation or saleand purchase or in joint ventures pool/mutual investments orotherwise in such manner as may from time to time bedetermined.To carry on the business of financing industrial enterpriseswhether by way or making loan or advances to or subscribing tothe capital or private industrial/business enterprises inIndia.To carry on the business Ann advancing loans whether secured orunsecured to borrow negotiate loans or take deposits or moneyat interest or otherwise from any person(s) firm or bodycorporate.
